1. Contractual Relationship

These Terms & Conditions ("Terms") govern your access to and use of Shayata’s website and services. By accessing or using our services, you agree to be bound by these Terms, establishing a contractual relationship between you and Shayata. If you do not agree to these Terms, you may not access or use our services.

2. Modifications to Terms of Use and/or Privacy Policy

Shayata reserves the right to change, modify, or otherwise amend these Terms and any other related documents at any time. We will post the amended Terms on our website and notify you of any material changes. Your continued use of our services after such posting constitutes your consent to be bound by the amended Terms.

4. The Services

Shayata provides various household services, including but not limited to electrician, plumbing, painting, home beautician, home doctor, and catering services. The specific terms of each service will be provided at the time of booking. These services are provided by independent third-party contractors.

5. License

Subject to your compliance with these Terms, Shayata grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use our platform on your personal device for your personal, non-commercial use.

6. Restrictions

When using Shayata's services, you are strictly prohibited from engaging in the following activities:

• Removing Proprietary Notices: You may not remove any copyright, trademark, or other proprietary notices from any part of the Services.
• Unauthorized Reproduction: Reproduction, modification, creation of derivative works, distribution, licensing, selling, or reselling of the Services is strictly prohibited unless expressly permitted by Shayata.
• Reverse Engineering: You are not allowed to decompile, reverse engineer, or disassemble any part of the Services.
• Unauthorized Linking: Do not link to, mirror, or frame any portion of the Services without explicit authorization.
• Data Mining: The use of any programs, scripts, or automated tools to scrape, index, or otherwise data mine any part of the Services is not allowed.
• Unauthorized Access: You must not attempt to gain unauthorized access to or impair any aspect of the Services or its related systems.

7. Provision of the Services

Shayata will provide the Services to you under these Terms. We may modify, suspend, or discontinue any aspect of the Services at any time without notice.

8. Third-Party Services and Content

The Services may be made available or accessed in connection with third-party services and content that Shayata does not control. Shayata does not endorse these third-party services and content and is not responsible for their availability or reliability.

9. Ownership

Shayata and its licensors retain all rights, title, and interest in and to the Services, including all related intellectual property rights.

10. Your Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for your conduct while using the Services and for any consequences thereof.

11. User Accounts

To use most aspects of the Services, you must register for and maintain an active user account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

12. User Requirements and Conduct

You agree to provide accurate and complete information when registering for an account and using the Services. You must comply with all applicable laws and regulations while using the Services.

13. No Discrimination

Shayata does not tolerate discrimination of any kind. You agree to treat service providers and other users with respect and without discrimination.

14. Promotional Codes

Shayata may, in its sole discretion, create promotional codes that may be redeemed for account credit or other features or benefits. These codes are subject to additional terms that Shayata establishes.

15. User Provided Content

You may be permitted to submit content to the Services, such as reviews and feedback. By providing content, you grant Shayata a worldwide, perpetual, irrevocable, transferable, royalty-free license to use, copy, modify, distribute, and display such content.

16. Network Access and Devices

You are responsible for obtaining the data network access necessary to use the Services. Shayata is not responsible for any charges or fees associated with your data network access.

17. Payment

You agree to pay for the services you receive from Shayata’s third-party providers. The charges will be inclusive of applicable taxes where required by law. All payments must be made as per the terms provided at the time of booking.

18. Limitation of Liability

Shayata will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services. Our total liability to you for any claim arising out of or relating to the Services will not exceed the amount paid for the service in question.

19. Indemnity

You agree to indemnify and hold Shayata and its affiliates, officers, directors, employees, and agents harmless from any claims, demands, losses, liabilities, and expenses arising out of or in connection with your use of the Services or violation of these Terms.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of Nepal, excluding its rules on conflicts of laws. The Vienna Convention on the International Sale of Goods of 1980 (CISG) shall not apply. In the event of a dispute, either party may file an action in the courts of Nepal or pursue final and binding arbitration or other alternative dispute resolution as agreed upon by the parties.

21. General

• Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect.
• Waiver: Shayata’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
• Entire Agreement: These Terms constitute the entire agreement between you and Shayata regarding the use of the Services and supersede any prior agreements.
